Legal agreement for using Liquid Edge services
These Terms of Service ("Terms") govern your access to and use of the software, website, applications, APIs, and related services (collectively, the "Services") provided by Liquid Edge ("Operator," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms and all applicable laws. If you do not agree, do not use the Services.
Eligibility
You must be at least 18 years old and legally capable of entering into contracts. By using the Services, you represent and warrant that you meet these requirements and are not prohibited from using the Services under any applicable law.
Account Registration
To use certain features, you must register for an account by providing accurate, current, and complete information.
Description of Services
The Services provide tools and interfaces that allow you to create, configure, and run automated trading strategies ("Bots") that interact with third-party exchanges or protocols ("Third-Party Services") via API keys and credentials you supply.
Important: We do not custody your assets; all execution occurs on the Third-Party Services.
Third-Party Services & Your API Keys
You are solely responsible for selecting, securing, and maintaining your accounts and API keys with Third-Party Services. We are not a party to and have no control over their terms, availability, fees, or execution.
You grant us a limited, non-exclusive license to use your API keys solely to operate Bots on your behalf as instructed. We do not access, control, or hold any of your funds.
Fees & Payments
Subscription Fees
Certain features require a paid subscription. Fees, billing cycles, and payment terms are described on our website or at checkout.
Automatic Renewal
Subscriptions renew automatically unless you cancel before the renewal date.
All fees are non-refundable unless otherwise stated or required by applicable law.
Risk Disclosure & Acknowledgment

You represent that you have the financial resources and risk tolerance to trade digital assets and that you have conducted your own due diligence.
No Investment Advice
The Services are tools only. Nothing we provide constitutes financial, investment, legal, or tax advice. You should consult qualified professionals before making any financial decisions.
User Conduct
You agree not to use the Services for any illegal purpose, violate laws or third-party rights, attempt unauthorized access, or interfere with the Services or their infrastructure.
Intellectual Property
All content, trademarks, and technology in the Services are owned or licensed by us. You receive a limited, non-exclusive license to use the Services for personal, non-commercial purposes.
Privacy
Our collection and use of your information is described in our Privacy Policy, which is incorporated by reference.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Indemnification
You agree to indemnify and hold harmless the Operator and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.
Modifications
We may modify these Terms at any time. We will post updated Terms and, for material changes, provide notice. Continued use after the effective date constitutes acceptance.
Termination
We may suspend or terminate your access at any time, with or without cause or notice. Upon termination, your license ends and you must cease all use of the Services.
Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Dispute Resolution & Arbitration
Any dispute arising from these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Language

Class Action Waiver: All claims must be brought individually. You waive any right to participate in a class, collective, or representative action.
Small Claims Exception: Either party may bring an individual action in small claims court if the claim qualifies.
Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, or internet/infrastructure failures.
Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
Severability
If any provision is held unenforceable, the remaining provisions remain in effect.
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and us regarding the Services.
Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
Survival
Provisions that by their nature should survive termination (e.g., indemnification, limitation of liability, dispute resolution) will survive.
